FloorFeed Terms of Use

Last updated: October 29, 2026

These Terms of Use (the "Terms") form a legally binding agreement between you and FloorFeed LLC, a Florida limited liability company (formation pending), together with its owners, successors and assigns ("FloorFeed," "we," "us" or "our"), and govern your access to and use of the website at floorfeed.io, the FloorFeed applications, and every feature, tool, smart contract interface, API and service we make available (together, the "Services"). Our Privacy Policy (floorfeed.io/privacy) explains how we handle your personal information.

PLEASE READ THESE TERMS CAREFULLY. SECTION 19 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED. UNLESS YOU OPT OUT AS DESCRIBED IN SECTION 19, YOU AND FLOORFEED WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION.

When you create an account, and again when these Terms change, we ask you to agree to them by ticking "I agree" and tapping "Agree and continue"; we keep a record of that agreement. By doing so, or by creating an account, connecting or using a wallet through the Services, or otherwise accessing or using the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Beta Services

The Services are an early-stage, beta product under active development. Features may be experimental, incomplete, inaccurate, interrupted, changed or withdrawn at any time, with or without notice. Software errors, data errors, display errors, outages and other defects are expected. You acknowledge that you use the Services at your own risk and that you will not rely on the Services for any purpose for which their beta status makes them unsuitable.

2. What FloorFeed Is, and What It Is Not

FloorFeed is a software interface. It displays information about non-fungible tokens ("NFTs"), digital assets, wallets and blockchain activity, and it helps you prepare transactions that you review and sign with your own wallet. Transactions are executed by public blockchains and by smart contracts and protocols operated by third parties, not by FloorFeed.

FloorFeed is not a broker, dealer, exchange, trading venue, marketplace operator, money transmitter, payment processor, custodian, bank, investment adviser, fiduciary or financial institution of any kind. FloorFeed does not act as your agent, does not execute, match, clear or settle any order, and is not a party to any transaction between you and any other person. No fiduciary, advisory or agency relationship is created by these Terms or by your use of the Services, and to the fullest extent permitted by law you waive any duty that would otherwise arise from one.

3. Eligibility

To use the Services you must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract. By using the Services you represent and warrant that:

  • you are not located in, organized in, or ordinarily resident in any country or region subject to comprehensive sanctions by the United States, including Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk People's Republic and so-called Luhansk People's Republic regions of Ukraine;
  • you are not, and are not owned or controlled by or acting for, any person on a sanctions or restricted-party list maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control, the U.S. Department of Commerce, the United Nations, the European Union or the United Kingdom;
  • you will not use a VPN or any other means to circumvent a restriction on access to the Services; and
  • your use of the Services is lawful where you are, and you have not previously been suspended or removed from the Services.

If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind it to these Terms, and "you" includes that entity.

4. Your Account

Most of the Services require a FloorFeed account. You agree to provide accurate information, to keep only one account unless we permit otherwise, and not to create accounts by automated means or for another person. To protect the Services against bots and abuse we may verify accounts using email or social login checks, device and IP signals and third-party challenge services, and we may refuse, limit or revoke any account in our discretion.

You are responsible for all activity that occurs through your account and your login methods. Notify us at [email protected] immediately if you believe your account has been compromised.

5. Wallets and Self-Custody

FloorFeed is fully non-custodial. FloorFeed never takes possession, custody or control of your private keys, seed phrases, digital assets or NFTs, and cannot access, freeze, move, reverse or recover them. Every transaction made through the Services is approved and signed by your wallet.

If you use an embedded wallet created when you sign up, that wallet is provided and secured by a third-party wallet infrastructure provider (currently Privy) under its own terms, and its keys are controlled by you, not by FloorFeed. You can export your private key at any time. FloorFeed does not hold delegated signing authority over your embedded wallet. You may instead connect an external wallet, which is governed solely by the terms of its provider.

You are solely responsible for the security of your wallets, keys, recovery methods, devices and login credentials, and for every transaction your wallet signs, whether or not you authorized it. If you lose access to your wallet or your login methods, FloorFeed cannot restore it, and any digital assets in it may be lost permanently.

6. Transactions Are Final

Blockchain transactions are public, permanent and irreversible. Before you sign, you are responsible for reviewing every detail of a transaction, including the asset, contract, network, price, quantity, fees, recipient and expiry, and for confirming that it is what you intend. FloorFeed may display estimates (for example of prices, fees, gas, royalties, routes and arrival times) that may differ from the final result, and a transaction may fail, revert, be delayed, front-run, partially filled or executed at a different price, and still cost network fees. FloorFeed has no ability to cancel, reverse or refund any transaction once it is broadcast.

7. Specific Services

The following terms apply in addition to the rest of these Terms when you use the Services described. Where any of these Services relies on a third party, section 11 also applies.

7.1 Market data, feed, trader badges and analytics. The feed, floors, sales, prices, volumes, "real volume" and wash trading estimates, profit and loss figures, win rates, trader badges, leaderboards, holder data, team wallet labels, risk signals, funding links and every other statistic or label are generated automatically from blockchain data and third-party sources. They may be incomplete, delayed, estimated or wrong, and they are not a statement of fact about any person, wallet, project or asset. A badge, ranking, label or risk flag (or the absence of one) is not an endorsement, accusation or guarantee.

7.2 Alerts and notifications. Price, floor, volume, wallet and other alerts are provided for convenience only and may arrive late, more than once, or not at all. Do not rely on them to protect a position or to meet any deadline.

7.3 AI features. Features such as AI buy context and AI Deep Dive research are generated by third-party artificial intelligence models from public and third-party data. AI output may be inaccurate, incomplete, outdated or entirely fabricated, may not reflect the views of FloorFeed, and must be independently verified before you rely on it. AI output is not investment, financial, legal or tax advice.

7.3A AI connector and trade requests. You may connect a third-party AI application (such as Claude) to your FloorFeed account through FloorFeed's AI connector, choose what it may read, and optionally allow it to prepare trade requests (for example a buy, listing, offer, sale or cancel). A trade request is only a proposal: FloorFeed checks it against the limits described in the Services (such as a price limit and a dollar cap you choose) and shows it to you, and nothing is bought, sold, listed, offered or cancelled unless you review it and sign the transaction in your own wallet. Neither the AI application nor FloorFeed can sign for you. The AI application is a Third-Party Service operated by its provider: it may misunderstand you, be mistaken, or be misled by content it reads, and FloorFeed does not control or endorse what it proposes. You are solely responsible for every request you sign, for keeping your connector links private, and for removing any connection you no longer want, which you can do at any time in Settings.

7.4 Practice trading. Practice (paper) trading uses simulated funds at live prices. Practice balances, positions, profits, rankings and seasons have no monetary value, cannot be redeemed, transferred or exchanged for anything of value, and confer no prize unless we expressly announce otherwise under separate official rules. Simulated results do not reflect real fees, liquidity, execution or risk and do not predict real results.

7.5 Buying, selling, listings and offers. When you buy, sweep, list, sell or make or accept an offer (including collection, trait and multi-quantity offers), FloorFeed prepares a transaction or signed order for a third-party marketplace or protocol (for example OpenSea and the Seaport protocol, Magic Eden, Tensor or Mavis Market). The order is posted, matched and settled by that third party and by smart contracts, not by FloorFeed. Signed orders, such as offers and listings, can be filled by any eligible counterparty at any time until they expire or you cancel them, may be filled in part (a multi-quantity offer may fill one item at a time), and require that the funds or NFTs remain available and approved in your wallet. Cancelling an order may require an on-chain transaction and fee, and an order may be filled before a cancellation confirms. Listings and items shown in the Services are provided by third parties; FloorFeed does not verify their authenticity, ownership, metadata or rights.

7.6 Transfers, wrapping, bridging and swaps. Sending assets, wrapping and unwrapping tokens, and moving or swapping assets between networks are carried out by your wallet and by third-party protocols and solvers (for example Relay). Cross-chain transfers can be delayed, fail, require a refund process run by the third party, or arrive in an amount different from the estimate. Assets sent to a wrong, incompatible or unsupported address or network may be lost permanently.

7.7 Purchasing digital assets. Where FloorFeed makes a third-party on-ramp available (for example Coinbase Onramp), purchases are made directly with that provider under its own terms, identity checks and policies. FloorFeed is not a party to the purchase, does not receive or hold your payment or the purchased assets, and is not responsible for the provider's pricing, availability, delivery, refunds or decisions.

7.8 Network fees covered by FloorFeed. FloorFeed may, in its discretion, pay or advance network fees for certain transactions and recover them from the same transaction or a later one as disclosed in the Services. This is a convenience that we may limit or end at any time, and it does not give FloorFeed custody of, or any interest in, your assets.

7.9 Minting. Drops and mints shown on the Mint tab or elsewhere are offered by their creators. FloorFeed does not issue, sell, endorse or vet them, and makes no representation about any creator, collection, smart contract, mint price, supply, reveal, artwork, roadmap or value. Allowlists, mint phases, limits and eligibility are set and enforced by creators and smart contracts.

7.10 Launchpad (for creators). If you launch a collection, airdrop or other project using FloorFeed's launchpad tools, contracts or factories, you are the creator, issuer and seller of that project and are solely responsible for it. You represent and warrant that you own or are licensed to use all artwork, names and other content in it; that it does not infringe or violate anyone's rights or any law; that it is not a security, investment contract or other regulated financial product, and that you will not market it as an investment or promise holders profit, returns, buybacks or price support; and that you will honor every commitment you make to buyers and holders. You are responsible for the configuration of your contracts (including prices, supply, phases, royalties, payout and team wallets, reveals and on-chain storage), for the costs of deploying and storing them, and for any taxes and legal obligations arising from your project. Launchpad smart contracts are provided as-is; once deployed, settings may be impossible to change. FloorFeed may hide, delist or stop supporting any project in its discretion.

7.11 Eat the Floor vaults and royalty routing. Some collections direct royalties or other proceeds to an automated smart contract (an "Eat the Floor" vault) that may buy NFTs from the collection, and some royalties are forwarded between networks through third-party protocols. These mechanisms operate automatically under their code and the creator's settings. They do not guarantee any floor price, purchase, liquidity, return or outcome, may not operate as described, and are not an investment program offered by FloorFeed. FloorFeed does not promise to buy, support or maintain the price of any NFT.

7.12 Airdrops and sign-up links. Airdrops and sign-up campaigns are run by their creators, who set the rules, choose recipients (including by random draw or holder status) and send the assets. Signing up does not guarantee that you will receive anything. FloorFeed or the creator may disqualify any entry that appears to involve multiple accounts, bots, sybil activity or other abuse, and FloorFeed is not responsible for any creator's failure to deliver.

7.13 FloorFeed collections and holder perks. FloorFeed and its affiliates may create or sell NFT collections (such as Floor Feeders, the Base Pass and Raving Apes). These NFTs are digital collectibles intended for use and enjoyment, not investments. FloorFeed makes no promise of any future value, utility, development or return, and you should not purchase them with any expectation of profit from the efforts of FloorFeed or anyone else. Any holder perks (such as fee discounts or features) are a revocable courtesy that FloorFeed may change, suspend or end at any time, depend on blockchain reads that may fail, and do not entitle holders to any share of FloorFeed's revenue, assets or governance.

7.14 Referrals. Where FloorFeed offers a referral program, any reward is a share of FloorFeed's own fees as described in the Services at the time, is subject to minimum payout amounts and verification, may be changed or ended at any time, and is forfeited if we reasonably believe it was earned through self-referral, multiple accounts, spam, misleading promotion or other abuse. You are responsible for any taxes on rewards you receive.

7.15 Sponsored placements and advertising. Sponsored spots and other advertising are sold on the terms shown when you book. Unless the Services state otherwise, payments are final and non-refundable. We may refuse, remove or reschedule any placement in our discretion, including any that we believe is misleading, infringing, unlawful or harmful. Advertisers are solely responsible for their content and their projects. A sponsored placement is not an endorsement by FloorFeed.

7.16 Social features and following. Profiles, takes, likes, follows, shared trade pages, invitations and other social features let users publish content and see one another's on-chain activity. Following, watching or copying another wallet or trader is entirely at your own risk; no trader, user, creator or advertiser shown in the Services is endorsed by FloorFeed or acts on your behalf, and past results do not indicate future results.

8. Fees

FloorFeed may charge fees for some Services (for example a fee on purchases, offers, sales, bridges and swaps, or launches), which are shown or described before you sign the transaction that pays them. Third parties separately charge network (gas) fees, marketplace fees, creator royalties, bridge and solver fees and other charges, which FloorFeed does not control and which may change between the time you see an estimate and the time a transaction executes. All fees are non-refundable, including on failed or reverted transactions, except where the applicable smart contract refunds them automatically. We may introduce, change or waive fees at any time, prospectively.

9. Taxes

You are solely responsible for determining what taxes apply to your transactions and activity, and for reporting and paying them. FloorFeed does not provide tax advice, and any profit and loss figures in the Services are estimates that are not suitable for tax reporting.

10. Assumption of Risk

You understand and accept that using the Services and holding, buying, selling, minting or transferring digital assets involves substantial risk, and that you may lose all of the value you put in. You expressly assume all such risks, including:

  • Volatility and value: the prices of NFTs and digital assets are highly volatile and speculative, can fall to zero, and are subjective. Floor prices and markets can be thin, illiquid or manipulated, and you may be unable to sell an asset at any price.
  • Smart contracts: smart contracts, including FloorFeed's own launchpad and vault contracts and every third-party contract, may contain bugs, vulnerabilities or design flaws, may be exploited, upgraded or controlled by their owners, and may behave differently than expected.
  • Blockchains: networks can fork, halt, congest, reorganize, change their rules or be attacked; transactions can be delayed, front-run, censored or fail; and gas costs can spike unpredictably.
  • Third parties: marketplaces, bridges, wallets, oracles, data providers, on-ramps and other third parties may fail, change, be hacked, become insolvent, block your access or act against your interests.
  • Fraud and scams: counterfeit collections, impersonation, phishing, malicious approvals, rug pulls, wash trading and other fraud are common in this market. FloorFeed's labels and risk signals cannot detect all of them.
  • Security: your devices, browser, wallet or login methods may be compromised, and losses from unauthorized signatures cannot be recovered.
  • Regulation: laws and regulations applicable to digital assets are uncertain and changing, and new laws, enforcement actions or tax treatments could adversely affect the Services, your assets or your ability to use them.
  • Information: data, analytics, AI output and other content in the Services may be inaccurate, delayed or incomplete.

You are solely responsible for your own decisions. Nothing in the Services is investment, financial, legal, tax or other professional advice, or a recommendation or solicitation to buy, sell or hold any asset. You should consult your own advisers before making any decision.

11. Third-Party Services and Content

The Services integrate and link to services, protocols, smart contracts, wallets, data and content provided by third parties, including wallet providers, marketplaces, bridges, on-ramps, data and AI providers, and the creators of NFT collections ("Third-Party Services"). FloorFeed does not control, endorse or assume responsibility for any Third-Party Service, and your use of one is governed by its own terms and privacy policy. FloorFeed is not liable for any loss arising from a Third-Party Service, including its unavailability, errors, security breaches or decisions. NFT artwork, metadata, names and descriptions are supplied by their creators and may change or disappear; FloorFeed does not host, verify or guarantee them.

12. Prohibited Conduct

You agree not to, and not to help anyone else to:

  • violate any law or regulation, including sanctions, anti-money-laundering, securities, commodities, consumer protection and tax laws, or use the Services to deal in proceeds of crime;
  • engage in wash trading, spoofing, pump-and-dump schemes or any other manipulation of prices, volumes, rankings, badges or leaderboards;
  • defraud, mislead or impersonate any person, project or FloorFeed, or launch, promote or advertise any scam, counterfeit collection or project you do not have the right to offer;
  • create multiple accounts, use bots, scripts or fake identities, or otherwise game sign-ups, airdrops, allowlists, referrals, perks or rewards;
  • infringe or misappropriate any intellectual property, privacy or publicity right, or post content that is unlawful, harassing, hateful, sexually exploitative, or that promotes violence;
  • probe, scan, test or exploit vulnerabilities in the Services or any smart contract, interfere with or overload the Services, or circumvent any security measure, rate limit, access control or geographic restriction;
  • scrape, crawl or harvest data from the Services, or copy, resell or build a competing product from the Services, except as we expressly permit; or
  • upload malware, or reverse engineer the Services except to the extent applicable law forbids this restriction.

If you discover a security vulnerability, report it to [email protected] and do not exploit it. FloorFeed has no obligation to monitor users or content but may investigate any suspected violation and cooperate with law enforcement.

13. Your Content and Feedback

You keep ownership of content you post through the Services, such as profile information, takes and collection details ("Your Content"). You grant FloorFeed a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, reproduce, modify, display, distribute and promote Your Content in connection with operating and marketing the Services. You represent that you have every right needed to grant this license and that Your Content does not violate these Terms or anyone's rights. We may remove any content at any time. If you send us suggestions or feedback, we may use them without restriction or compensation.

14. FloorFeed's Intellectual Property

The Services, including their software, design, text, graphics, data compilations and the FloorFeed name and logos, are owned by FloorFeed or its licensors and protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your own lawful, personal or internal business purposes. All other rights are reserved. Ownership of an NFT gives you only the rights its creator grants and does not give you any right in FloorFeed's intellectual property.

If you believe content in the Services infringes your copyright or trademark, send a notice to [email protected] identifying the work, the content and its location in the Services, your contact details, a statement of your good-faith belief that the use is unauthorized, and a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner. We may remove content and terminate repeat infringers.

15. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL CONTENT, DATA, AI OUTPUT, SMART CONTRACTS AND FEATURES, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, FLOORFEED EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. FLOORFEED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY INFORMATION IS ACCURATE OR COMPLETE, THAT ANY TRANSACTION WILL BE EXECUTED OR EXECUTED AS DISPLAYED, OR THAT THE SERVICES OR ANY SMART CONTRACT ARE FREE OF VULNERABILITIES OR HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM FLOORFEED CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FLOORFEED OR ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS OR SERVICE PROVIDERS (THE "FLOORFEED PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, DIGITAL ASSETS OR NFTS, OR THE VALUE OF ANY OF THEM, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING LOSSES FROM TRADING, PRICE MOVEMENTS, FAILED, DELAYED, PARTIAL OR MISTAKEN TRANSACTIONS, SMART CONTRACT OR BLOCKCHAIN FAILURES, THIRD-PARTY SERVICES, HACKS, UNAUTHORIZED ACCESS TO YOUR WALLET OR ACCOUNT, OR RELIANCE ON ANY INFORMATION, ANALYTICS OR AI OUTPUT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, AND EVEN IF A FLOORFEED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE FLOORFEED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) AND (B) THE FEES YOU PAID DIRECTLY TO FLOORFEED FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations are an essential basis of the bargain between you and FloorFeed and apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations of liability, so some of them may not apply to you; in that case the FloorFeed Parties' liability is limited to the fullest extent permitted by law.

17. Indemnification

To the fullest extent permitted by law, you will defend, indemnify and hold harmless the FloorFeed Parties from and against any claims, demands, liabilities, damages, losses, costs and expenses, including reasonable attorneys' fees, arising out of or relating to (a) your use or misuse of the Services; (b) your transactions and digital assets; (c) any collection, drop, airdrop, advertisement or other project you create, launch or promote; (d) Your Content; (e) your breach of these Terms; or (f) your violation of any law or the rights of any third party. FloorFeed may assume the exclusive defense of any matter subject to indemnification at your expense, and you will cooperate with that defense.

18. Release

To the fullest extent permitted by law, you release the FloorFeed Parties from all claims, known and unknown, arising out of disputes between you and any other user, creator, advertiser or Third-Party Service, or out of any transaction you enter into. If you are a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar law of any other jurisdiction.

19. Dispute Resolution, Arbitration and Class Action Waiver

19.1 Informal resolution first. Before starting any arbitration or court proceeding, you and FloorFeed agree to try to resolve any dispute informally. The party raising a dispute must send a written notice to the other (to FloorFeed at [email protected]) describing the claim, the relief sought and the claimant's contact details and wallet address, and the parties will negotiate in good faith for at least sixty (60) days after the notice is received. Any limitation period is tolled during this time.

19.2 Agreement to arbitrate. Except as provided in section 19.5, any dispute, claim or controversy arising out of or relating to these Terms or the Services, including their formation, scope, validity or enforceability (each a "Dispute"), will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if you use the Services on behalf of a business, its Commercial Arbitration Rules) then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator, not any court, has exclusive authority to resolve any question about the arbitrability of a Dispute, except that a court decides questions about section 19.3. The arbitration will be conducted in English by a single arbitrator, by video conference or written submissions unless the arbitrator decides an in-person hearing is necessary, in which case it will take place in Florida or another location the parties agree. Judgment on the award may be entered in any court with jurisdiction. Fees are allocated as the AAA rules provide.

19.3 Class action and jury trial waiver. YOU AND FLOORFEED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person or preside over any class or representative proceeding, and may award relief only in favor of the individual party seeking it and only to the extent needed to resolve that party's individual claim. YOU AND FLOORFEED EACH WAIVE THE RIGHT TO A TRIAL BY JURY. If this section 19.3 is found unenforceable as to any claim, that claim must be severed and heard in court after the arbitrable claims are resolved, and the rest of section 19 still applies.

19.4 Mass filings. If twenty-five (25) or more similar demands for arbitration are filed against FloorFeed by or with the help of the same or coordinated counsel or organizations, the parties agree that the demands will be administered in batches of no more than twenty-five (25) under the AAA's mass arbitration procedures, with one batch at a time proceeding to resolution, and that any limitation period for claims in later batches is tolled until their batch begins.

19.5 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies and remains there, and (b) seek an injunction or other equitable relief in court to stop actual or threatened infringement, misappropriation or violation of its intellectual property rights or the misuse or abuse of the Services.

19.6 Your right to opt out. You may opt out of this agreement to arbitrate by emailing [email protected] within thirty (30) days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your name, account email and wallet address. Opting out does not affect any other part of these Terms. If we make a material change to this section 19, you may reject it by emailing us within thirty (30) days after the change takes effect, in which case the version of this section you last accepted continues to apply.

19.7 Time limit. To the fullest extent permitted by law, any Dispute must be brought within one (1) year after the claim arises, or it is permanently barred.

20. Governing Law and Venue

These Terms and any Dispute are governed by the laws of the State of Florida and applicable federal law of the United States, without regard to conflict of laws principles. Subject to section 19, any proceeding permitted to be brought in court will be brought exclusively in the state or federal courts located in the State of Florida, and you and FloorFeed consent to the personal jurisdiction and venue of those courts and waive any objection based on an inconvenient forum.

21. Changes to the Services and These Terms

We may modify, suspend or discontinue any part of the Services at any time without liability. We may revise these Terms from time to time; the date at the top shows when they last changed. If a change is material, we will give reasonable notice, for example in the Services or by email, before it takes effect. Changes apply going forward, and your continued use of the Services after a change takes effect means you accept it. If you do not agree, stop using the Services.

22. Suspension and Termination

We may suspend, restrict or terminate your access to all or part of the Services, or your account, at any time, with or without notice, for any reason, including if we believe you have violated these Terms or the law, pose a risk to the Services or other users, or if required by law or a third-party provider. Because FloorFeed is non-custodial, suspension or termination does not affect your digital assets, which remain in your wallet and accessible through other software. You may stop using the Services and delete your account at any time. Sections 2, 5 through 11, and 13 through 23, and any other provision that by its nature should survive, survive any termination.

23. General

These Terms, together with any policies and additional terms referenced in them or presented to you in the Services, are the entire agreement between you and FloorFeed about the Services and supersede any prior agreement. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; FloorFeed may assign them, including to any entity that takes over operation of the Services, without restriction. FloorFeed is not liable for any delay or failure caused by events beyond its reasonable control, including blockchain failures, attacks, outages of third-party providers, changes in law and acts of government. You agree to receive communications from us electronically, and electronic communications satisfy any legal requirement that they be in writing. Headings are for convenience only, and "including" means "including without limitation." These Terms are written in English, which controls over any translation.
